1. Acceptance of Terms
By accessing or using any services provided by AriLeo Infotech Inc. ("AriLeo," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as our Privacy Policy. These Terms apply to all users of our services, including visitors, clients, and any others who engage with Arileo Infotech.
2. Services Offered
AriLeo Infotech provides digital solutions including but not limited to web development, mobile application development, UI/UX design, digital marketing, and IT consulting. The specific scope of services will be defined in individual project agreements or proposals.
Custom Development: All software, websites, and applications are built to your specifications and requirements as mutually agreed upon in the project scope.
Project Timelines: Estimated timelines are provided in good faith. AriLeo Infotech is not liable for delays caused by client-side dependencies, scope changes, or third-party integrations.
Revisions: Each project includes a defined number of revision rounds as outlined in the project agreement. Additional revisions may be subject to extra charges.
3. Client Responsibilities
To ensure smooth project delivery, clients are expected to adhere to the following guidelines:
Content & Assets: You are responsible for providing all necessary content, images, logos, and brand guidelines in a timely manner. Delays in providing materials may affect project timelines.
Communication: Maintain prompt and clear communication throughout the project lifecycle. Designate a single point of contact for approvals and feedback.
Prohibited Use: You agree not to use AriLeo Infotech's services for any unlawful purposes, including but not limited to:
Creating content that promotes illegal activities or violates any applicable laws.
Distributing malware, viruses, or any harmful software through delivered products.
Infringing upon intellectual property rights of third parties.
Engaging in activities that could damage AriLeo Infotech's reputation or business.
4. Intellectual Property
We respect intellectual property rights and clearly define ownership terms for all deliverables:
Client Ownership: Upon full payment, all custom-developed code, designs, and deliverables created specifically for your project are transferred to you. You receive full ownership and rights to use, modify, and distribute the final deliverables.
AriLeo Infotech Property: Pre-existing frameworks, tools, libraries, and proprietary methodologies used by AriLeo Infotech remain our intellectual property. You are granted a non-exclusive license to use these components within your delivered project.
Portfolio Rights: AriLeo Infotech reserves the right to showcase completed projects in our portfolio, case studies, and marketing materials unless explicitly restricted by a non-disclosure agreement.
5. Payment Terms
All payments are to be made in accordance with the terms outlined in the individual project agreement or invoice. Standard payment terms include:
Deposit: A non-refundable deposit (typically 30-50% of the total project cost) is required before work commences.
Milestones: Payments are structured around project milestones. Each milestone must be paid before proceeding to the next phase.
Late Payment: Invoices not paid within the agreed timeframe may incur a late fee. AriLeo Infotech reserves the right to pause work on projects with outstanding balances.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes but is not limited to business strategies, technical specifications, user data, and financial information. Confidentiality obligations survive the termination of the business relationship.
7. Limitation of Liability
To the fullest extent permitted by law, AriLeo Infotech and its affiliates, directors, employees, or partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from your use of our services or these Terms. Our total liability shall not exceed the total fees paid by the client for the specific project in question.
8. Warranties & Disclaimers
To clarify the scope of our responsibilities, we provide the following:
Workmanship Warranty: AriLeo Infotech provides a 30-day warranty period post-delivery for bug fixes and issues directly related to the delivered scope of work.
Third-Party Services: We are not responsible for failures, outages, or changes in third-party services, APIs, hosting providers, or platforms integrated into your project.
9. Termination
Either party may terminate the engagement with written notice. In the event of termination, the client is responsible for payment of all work completed up to the date of termination. Arileo Infotech will deliver all completed work and materials upon receipt of final payment. Any proprietary tools or frameworks will be removed from the deliverables upon termination.
10. Changes to Terms
AriLeo Infotech reserves the right to modify or update these Terms at any time. Any changes will be posted on this page, and the updated date will be reflected at the top. Continued engagement with our services after modifications constitutes acceptance of the updated Terms. We recommend reviewing this page periodically.
11. Governing Law
These Terms and your engagement with AriLeo Infotech shall be governed by and construed in accordance with the laws of Canada, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if necessary, through the appropriate courts of jurisdiction.
